Terms of Service

Please read these Terms carefully. They form a binding legal agreement between you and Intelligent Context AI Inc. governing your use of CodeLedger.
1. Acceptance
By accessing or using CodeLedger (the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity. If you do not agree to these Terms, please do not use the Service.
2. Use of the Service
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates applicable law, infringes on the rights of others, or interferes with the proper operation of the Service. We reserve the right to suspend or terminate accounts that violate these Terms.
3. Accounts
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Please notify us promptly at support@codeledger.dev if you suspect any unauthorized access. You may not share your account or transfer it to another party without our written consent.
4. Subscriptions and Payment
Paid plans are billed on a recurring basis (monthly or annual) via our payment processor. All fees are stated in US dollars and are non-refundable except as required by applicable law. We may change our pricing with reasonable advance notice. Failure to pay may result in suspension or termination of your access.
5. Free Trials
We may offer free trials for paid plans. Unless you cancel before the end of the trial period, your subscription will automatically convert to a paid plan and you will be charged accordingly. We reserve the right to modify or end free trial offerings at any time.
6. Intellectual Property
The Service and all related software, content, trademarks, and designs are owned by Intelligent Context AI Inc. and are protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of any data or content you submit to the Service.
7. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Your use of the Service is at your own risk.
8. Limitation of Liability
To the maximum extent permitted by law, Intelligent Context AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Service. Our total liability for any claim relating to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Intelligent Context AI Inc. and its officers, directors, and employees from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.
10. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms or if we reasonably believe your use of the Service poses a risk to us or other users. Upon termination, your right to use the Service ceases immediately.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may revise these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms.
